　　7．獨(dú)家代理權(quán)

　　8．商情報(bào)告
　　
　　為使甲方充分了解現(xiàn)行市場情況，乙方承擔(dān)至少每季度一次或在必要時(shí)隨時(shí)向甲方提供市場報(bào)告，內(nèi)容包括與本協(xié)議代理商品的進(jìn)口與銷售有關(guān)的地方規(guī)章的變動(dòng)、當(dāng)?shù)厥袌霭l(fā)展趨勢以及買方對(duì)甲方按協(xié)議供應(yīng)的貨物的品質(zhì)、包裝、價(jià)格等方面的意見。乙方還承擔(dān)向甲方提供其他供應(yīng)商類似商品的報(bào)價(jià)和廣告資料。
　　9．廣告及費(fèi)用
　　乙方負(fù)擔(dān)本協(xié)議有效期內(nèi)在新加坡銷售代理商品做廣告宣傳的一切費(fèi)用，并向甲方提交所用于廣告的聲像資料，供甲方事先核準(zhǔn)。
　　10．傭金
　　對(duì)乙方直接獲取并經(jīng)甲方確認(rèn)接受的訂單，甲方按凈發(fā)票售價(jià)向乙方支付5％的傭金。 傭金在甲方收到每筆訂單的全部貨款后才會(huì)支付。
　　11．政府部門間的交易
　　在甲、乙雙方政府部門之間達(dá)成的交易不受本協(xié)議條款的限制，此類交易的金額也不應(yīng)計(jì)入第五條規(guī)定的最低業(yè)務(wù)量。
　　12．工業(yè)產(chǎn)權(quán)
　　在本協(xié)議有效期內(nèi)，為銷售有關(guān)洗衣機(jī)，乙方可以使用甲方擁有的商標(biāo)，并承認(rèn)使用于或包含于_________中的任何專利商標(biāo)、版權(quán)或其他工業(yè)產(chǎn)權(quán)為甲方獨(dú)家擁有。 一旦發(fā)現(xiàn)侵權(quán)，乙方應(yīng)立即通知甲方并協(xié)助甲方采取措施保護(hù)甲方權(quán)益。
　　13．協(xié)議有效期
　　本協(xié)議經(jīng)有關(guān)雙方如期簽署后生效，有效期為_________年，從_________年_________月_________日至_________年_________月_________日。除非作出相反通知，本協(xié)議期滿后將延長_________個(gè)月。
　　14．協(xié)議的終止

　　15．不可抗力
　　由于水災(zāi)、火災(zāi)、地震、干旱、戰(zhàn)爭或協(xié)議一方無法預(yù)見、控制、避免和克服的其他事件導(dǎo)致不能或暫時(shí)不能全部或部分履行本協(xié)議，該方不負(fù)責(zé)任。但是，受不可抗力事件影響的一方須盡快將發(fā)生的事件通知另一方，并在不可抗力事件發(fā)生15天內(nèi)將有關(guān)機(jī)構(gòu)出具的不可抗力事件的證明寄交對(duì)方。
　　16．仲裁
　　因履行本協(xié)議所發(fā)生的一切爭議應(yīng)通過友好協(xié)商解決。如協(xié)商不能解決爭議，則應(yīng)將爭議提交中國國際經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)（北京），依據(jù)其仲裁規(guī)則進(jìn)行仲裁。仲裁裁決是終局的，對(duì)雙方都有約束力。

　　8、market report
　　in order to keep party a well informed of the prevailing market conditions， party b should undertake to supply party a， at least once a quarter or at any time when necessary， with market reports concerning changes of the local regulations in connection with the import and sales of the commodity covered by this agreement， local market tendency and the buyer''s comments on quality， packing， price， etc. of the goods supplied by party a under this agreement. party b shall also supply party a with quotations and advertising materials on similar products of other suppliers.
　　9、advertising and expenses
　　party a shall bear all expenses for advertising and publicity in connection with the commodity in question in singapore within the validity of this agreement， and shall submit to party a all audio and video materials intended for advertising for prior approval.
　　10、commission
　　party a shall pay party b a commission of 5% on the net invoiced selling price on all orders directly obtained by party b and accepted by party a. no commission shall be paid until party a receives the full payment for each order.
　　11、transactions between governmental bodies
　　transactions concluded between govenmental bodies of party a and party b shall not be restricted by the terms and conditions of this agreement， nor shall the amount of such transactions be counted as part of the turnover stipulated in article 5.
　　12、industrial property rights
　　party b may use the trade-marks owned by party a for the sale of the _________ covered herein within the validity of this agreement， and shall acknowledge that all patents， trademarks， copy rights or any other industrial property rights used or embodied in the washing machines shall remain to be the sole properties of party a. should any infringement be found， party b shall promptly notify and assist party a to take steps to protect the latter''s rights.

　　16、arbitration
　　all disputes arising from the performance of this agreement shall be settled through friendly negotiation. should no settlement be reached throught negotiation， the case shallthen be submitted for arbitration to the china international economic and trade arbitration commission （beijing） and the rules of this commission shall be applied. the award of the arbitration shall be final and binding upon both parties.
